Agreement to terms

By accessing im7.in, exploring our demos, submitting an inquiry, or engaging IM7 Digital for services, you agree to these Terms & Conditions. If you do not agree, please do not use our website or services.

These terms apply to visitors, prospects, and clients unless superseded by a signed project agreement, statement of work, or service contract.

About our services

IM7 Digital provides retail software and commerce infrastructure services, including but not limited to D2C websites, digital catalogues, mobile commerce apps, POS software, admin panels, inventory systems, delivery apps, and custom business software development.

Specific deliverables, timelines, pricing, and support scope are defined in individual proposals or contracts. Website content and demos are illustrative and do not constitute a binding offer until confirmed in writing.

Website and demo use

When using our website or live demos, you agree not to:

  • Misuse demo environments for unlawful, harmful, or fraudulent activity.
  • Attempt to access systems, data, or accounts you are not authorized to use.
  • Copy, scrape, reverse engineer, or redistribute demo assets without permission.
  • Upload malicious code or interfere with website availability or security.

Inquiries and proposals

Information submitted through contact forms is used to evaluate project fit and prepare estimates. Submitting an inquiry does not create a client relationship or obligate IM7 Digital to accept a project.

Proposals are valid for the period stated in the proposal document unless otherwise agreed. Scope changes may require revised pricing and timelines.

Project engagement

When a project is accepted, the detailed terms—including scope, milestones, payment schedule, revision limits, hosting responsibilities, and support—will be documented in a separate agreement.

Clients are responsible for providing timely feedback, business content, product data, branding assets, third-party credentials, and approvals needed to complete the work.

Fees and payments

Fees are quoted in Indian Rupees unless stated otherwise. Unless agreed differently, projects typically follow milestone-based payments: advance to commence work, interim payments tied to delivery stages, and final payment before launch or handover.

Late payments may pause work, delay delivery, or suspend support. Taxes, payment gateway charges, domain/hosting renewals, and third-party license costs may be billed separately where applicable.

Intellectual property

Unless otherwise stated in a signed agreement, IM7 Digital retains ownership of pre-existing frameworks, reusable components, internal tools, and general know-how used across projects.

Upon full payment, clients typically receive rights to use the custom deliverables created specifically for their project as defined in the contract. Source code ownership and licensing terms must be explicitly documented for each engagement.

Client-provided trademarks, logos, product content, and business data remain the property of the client.

Confidentiality

Both parties agree to keep confidential any non-public business, technical, or commercial information shared during discussions or project delivery, except where disclosure is required by law or already public through no fault of the receiving party.

Warranties and disclaimers

We strive to deliver reliable, production-ready retail software. However, except as expressly stated in a signed agreement, services and website content are provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted uptime of third-party platforms, app store approvals, payment gateway availability, or specific commercial outcomes such as sales growth or conversion rates.

Limitation of liability

To the maximum extent permitted by law, IM7 Digital shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Our total liability for any claim arising from website use or services shall not exceed the amount paid by the client to IM7 Digital for the specific project giving rise to the claim during the twelve (12) months preceding the event, unless a different limit is stated in a signed contract.

Support and maintenance

Post-launch support, bug fixes, enhancements, server monitoring, and SLA response times are provided only when included in the agreed support plan or maintenance contract. Ad-hoc changes outside agreed scope may be billed separately.

Termination

Either party may terminate an engagement according to the termination clause in the project agreement. Upon termination, the client remains responsible for fees for work completed up to the termination date. Deliverables and access may be withheld until outstanding payments are settled, unless otherwise agreed.

Governing law and disputes

These Terms & Conditions are governed by the laws of India. Courts in Delhi, India shall have exclusive jurisdiction over disputes arising from website use, unless a signed contract specifies a different dispute resolution mechanism.

We encourage clients to contact us first to resolve concerns informally before pursuing formal proceedings.

Changes to these terms

We may update these Terms & Conditions periodically. Updated terms will be posted on this page with a revised “Last updated” date. Continued use of the website after changes constitutes acceptance of the updated terms.
